1. Scope of Services
CorePoint Supply provides remote business support and administrative consulting services. Services may include, without limitation: document and database organization, inbox and calendar coordination, preparation of reports, presentations, and analytical materials, and process standardization recommendations. All services are advisory and operational-support in nature and are delivered remotely.
We do not provide legal advice, financial advice, tax advice, or regulated professional services unless expressly stated in a signed statement of work. Any examples, templates, or suggested workflows are provided for informational purposes and must be validated by you for your specific requirements.
2. Eligibility & Authority
You represent that you are at least 18 years old and have the authority to bind yourself and/or the business entity you represent to these Terms. If you are using our services on behalf of a company, you confirm you have permission to provide information, request work, and receive deliverables on the company’s behalf.
3. Client Responsibilities
To deliver services effectively, you agree to provide timely access to required information, documents, preferences, and feedback. You are responsible for: (a) verifying the accuracy of source data you provide, (b) reviewing deliverables for correctness and compliance, and (c) making final decisions regarding implementation, distribution, or external use of materials we help prepare.
If delays occur due to missing inputs, approvals, or access, timelines may shift accordingly. We are not responsible for outcomes resulting from incomplete, inaccurate, or outdated information supplied by you or your team.
4. Communication & Access
Services are delivered remotely through agreed communication channels (for example: email, shared documents, project boards, or meeting platforms). If you provide access to business systems (such as shared drives, calendars, CRMs, or collaboration tools), you represent that such access is authorized and compliant with your internal policies.
You remain responsible for configuring permissions, roles, and security settings. Where feasible, we recommend least-privilege access and time-bound permissions. If access is removed or restricted, our ability to deliver may be impacted.
5. Deliverables & Timelines
Deliverables may include structured document repositories, database schema recommendations, reporting formats, slide decks, executive summaries, meeting notes, process maps, and operational guidelines. Timelines depend on service scope, complexity, and the responsiveness of required stakeholders.
Unless a written schedule is agreed, any time estimates are non-binding. You acknowledge that administrative systems improvements are iterative and that refinement cycles may be required for best results.
6. Fees, Billing & Taxes
Fees are communicated at the time of purchase or within a written proposal. Subscription or retainer services renew according to the stated billing cycle unless canceled under the Refund Policy or any agreed cancellation terms.
You agree to pay all applicable charges and any required taxes. If a payment fails, we may pause services until the account is brought current. You remain responsible for charges incurred prior to suspension.
7. Confidentiality
We treat non-public information you share as confidential and use it only to provide services. Confidential information includes business processes, internal documentation, credentials you provide, strategy notes, pricing data, customer information, and any other proprietary materials.
Confidentiality does not apply to information that: (a) becomes public without breach, (b) was already known to us without obligation, (c) is independently developed without use of your confidential information, or (d) must be disclosed by law or valid legal process.
8. Intellectual Property
You retain ownership of your pre-existing materials. Upon full payment, you receive a non-exclusive right to use the deliverables we create for your internal business operations. Unless otherwise agreed in writing, we retain ownership of our underlying methodologies, templates, checklists, and reusable frameworks.
If deliverables include third-party components (fonts, stock assets, or licensed templates), those components are subject to their own licenses. You are responsible for maintaining any required licenses.
9. Third-Party Tools
We may use third-party tools to collaborate and deliver services (for example: document editors, storage platforms, project trackers, meeting tools). Your use of such tools is governed by the third parties’ terms. We are not responsible for outages, data loss, policy changes, or security incidents attributable to third-party providers outside our control.
10. Professional Disclaimers
Our services are consulting and administrative support. We do not guarantee specific outcomes such as revenue growth, cost reductions, staffing outcomes, regulatory compliance, or operational performance improvements. Results depend on execution, constraints, and variables beyond our control.
You are solely responsible for reviewing deliverables before use, especially for external communications, public statements, contractual documents, or regulated materials.
11. Termination
Either party may terminate services in accordance with any active plan terms or written agreement. Upon termination, you will remain responsible for unpaid fees for services performed up to the termination date. We will provide deliverables completed through the termination date, subject to payment.
12. Limitation of Liability
To the maximum extent permitted by law, CorePoint Supply will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business interruption, arising out of or related to the services.
Our total liability for any claim arising out of or related to the services will not exceed the amounts paid by you to CorePoint for the specific service giving rise to the claim during the three (3) months preceding the event.
13. Indemnification
You agree to indemnify and hold harmless CorePoint Supply from claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of deliverables, (b) your breach of these Terms, (c) your violation of applicable laws, or (d) content or data you provide.
14. Changes to Terms
We may update these Terms periodically to reflect changes in services, operational practices, or legal requirements. The “Effective” date indicates when the latest version applies. Continued use of services after changes constitutes acceptance of the updated Terms.
15. Governing Law
These Terms are governed by the laws of the State of Missouri, without regard to conflict of law principles. Any disputes will be resolved in courts located in Missouri, unless otherwise required by applicable law.
